REPRESENTATIVE AGREEMENT This agreement is entered into by and between NuWEIGH LLC.; "the Company" and , a Representative; "the Rep", indentified by personal e-mail address, based on the terms, conditions, and definitions herein contained. Term of Agreement The agreement is effective upon receipt of the Reps's completed Compensation Form. Relationship with Company The Rep is an Independent Contractor paid on a commission-only basis with earnings reported on Form 1099. Commissions Commissions are paid on all sales made by the Rep to personal customers. A personal customer is defined as one to whom the Rep has made a direct sale of product(s) or one who has responded to an approved marketing campaign initiated by the Rep. Commissions are paid to the Rep on all sales made by a Representative of the Company to the personal customers of that Representative, recruited by the Rep. Responsibilities of Parties The Rep agrees to represent the company as an Independent Contractor and may neither state nor imply any other relationship with the company. The Rep must represent the Company in an honest and truthful manner at all times, never represent anything to be a fact or truth unless confirmed by the company to be so, never overstate or imply to overstate the program, its potential results, actual results of other customers, number of customers, costs, fulfillment time, or any other information not authorized or confirmed by the Company to be factual. The Rep may not initiate or run print, audio, and or visual marketing or advertising campaigns without prior written consent of the Company. The Company agrees to fulfill all orders for the Rep's customers in a timely manner and to appropriately compensate the Rep and on a timely basis. Company agrees to provide the Rep with any and all information and or materials needed to assist the Rep in fulfilling the Rep's responsibilities and will directly respond to all written communication not later than by the end of the following work week. Confidentiality Agreement The Rep acknowledges, that as a result of the Rep's relationship with the Company, with other Representatives, through Company paperwork, seminars, and all other forms of communication, the Rep will/may have access to confidential information which is and will remain proprietary property of the Company, including, but not limited to company earnings, Representatives' earnings, programming information, forms, contracts, lists, costs, pricing, bookkeeping practices, financial information of the company, personal information of customers, data, records, reports, sales and expense information, business plans and practices, marketing strategies, litigation and other legal matters, Company ideas, future products and/or plans. During the term of the relationship, or anytime thereafter, the Rep may not disclose, in part or in whole, any proprietary or confidential information without the prior written consent of the Company. The Rep may not enter into a new relationship with another company, vendor, distributor, nor any other third party, who is in direct competition with the Company, represents products, programs and/or services considered to be in direct conflict with the Company, nor attempt to directly compete with the Company during its relationship with the Company and for a period of not less than 1 year subsequent to the Rep's relationship with the Company as a result of the confidential information gathered, learned, and otherwise having gained knowledge of as the result of the relationship with the Company. Termination of Agreement This Agreement may be terminated if and when the Rep becomes inactive for any consecutive 90-day period, at the discretion of the Company for any misconduct or breach of confidentiality, or with 30-days written notice by either party. The Company reserves the right to amend the terms of this Agreement, in which case, the Rep will be given 30 days to execute the amended Agreement, during which time the terms of this Agreement shall remain in effect and continue in effect should the Rep not agree to sign the new Agreement. Transferability In the event of any change in or transfer of ownership of the Company, this agreement shall remain in full force and effect between the Rep and the Company's successor(s), heir(s), partner(s), investor(s), representative(s), agent(s),and any and all third party(ies) who may become associated with the Company, its products and/or services. The Rep may not transfer any rights to a third party without the prior written consent of the Company. Jurisdiction The terms of this Agreement shall be governed by the laws of the State of New York I agree to terms and conditions
